Terms of Service

These Platform Terms of Service ("Platform Terms") govern your access to and use of the platform made available at ai-agentsapp.com, including the authentication, sign-in, and application-access services provided through it (the "Platform"). By accessing the Platform or signing in through it, you agree to these Platform Terms and to our Privacy Policy. If you do not agree, do not access the Platform.

The Platform is operated by Imperative Technologies, Inc., a Delaware corporation ("Platform Operator," "we," "us"). "You" refers to the individual accessing or using the Platform.

1. Scope and relationship to other terms

The Platform provides authentication, sign-in, and access to the application through which AI-powered automation agents and related features are delivered. The agents, features, and commercial service you access through the Platform are governed by separate terms presented to and accepted by your organization at account setup (the "Product Terms").

These Platform Terms govern only your access to and authentication through the Platform. Your use of the underlying agents and service is governed by the Product Terms. If there is a conflict between these Platform Terms and the Product Terms with respect to the service, the Product Terms control.

2. Accounts and authentication

Access to the Platform requires authentication, which may be performed through a third-party identity provider such as Google. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must not share your credentials, access an account you are not authorized to use, or permit unauthorized access. Notify us promptly of any suspected unauthorized access.

You represent that any information you provide during authentication is accurate and that you are authorized to access the account you are signing into.

3. Authentication data

When you sign in through a third-party identity provider, we receive limited profile information, such as your name, email address, and a profile identifier, in order to create and maintain your account and provide access to the Platform. Our handling of this information is described in our Privacy Policy, which is incorporated by reference. We request only the access necessary to authenticate you and operate the Platform.

4. Acceptable use

You agree to use the Platform only for lawful purposes and in accordance with these Platform Terms. You may not:

  • attempt to disrupt or interfere with the operation of the Platform
  • gain unauthorized access to any system or account
  • circumvent any security control or access restriction
  • scrape or harvest data from the Platform without prior written consent
  • use the Platform in any manner that violates applicable law

5. Intellectual property

The Platform and all underlying technology, software, and materials are the property of the Platform Operator or its licensors and are protected under applicable intellectual property laws. These Platform Terms grant you no ownership interest and only a limited right to access the Platform as permitted here. You may not copy, modify, distribute, or create derivative works based on the Platform without prior written permission.

6. Availability

We may suspend or interrupt access to the Platform for maintenance, updates, or security work, and will give advance notice where practicable. Such interruptions are not a breach of these Platform Terms.

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU ACCESS THE PLATFORM AT YOUR OWN RISK.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM OPERATOR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY. IF THE PLATFORM OPERATOR IS FOUND LIABLE, ITS TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY APPLICABLE LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Platform Operator, its affiliates, and personnel from any claim, liability, or expense arising from your violation of these Platform Terms or misuse of the Platform.

10. Modifications

We may update these Platform Terms from time to time. The most current version will be posted with the effective date indicated. Continued use of the Platform after changes take effect constitutes acceptance.

11. Governing law and disputes

These Platform Terms are governed by the laws of Delaware, without regard to conflict-of-laws principles. Any dispute arising from or relating to these Platform Terms will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the jurisdiction of those courts.

12. General

These Platform Terms, together with the Privacy Policy, are the entire agreement between you and the Platform Operator regarding access to and authentication through the Platform, and supersede prior understandings on that subject. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remainder continues in full effect. You may not assign these Platform Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets. Clicking "I agree," signing in, or otherwise accessing the Platform constitutes valid, binding acceptance. You consent to receive notices electronically.
